Terms of Service.

These Terms of Service ("Terms") govern any website build, hosting, care plan, or social media service purchased from OptWeb LLC, a Louisiana limited liability company doing business as OptWebPro ("OptWebPro," "we," "us"). By confirming you'd like us to proceed with your build — in writing, before we send an invoice — you agree to these Terms. Questions before you agree? What we offer

We may offer additional AI-powered features in the future, such as an AI receptionist or business automations, as part of an expanded plan. Where offered, use of those features is also governed by "AI features" below.

The free demo

We build a demo of your website before you owe us anything. It's provided for your review only — shown to you live and/or as a recorded walkthrough — and creates no obligation on either side. We may modify or take down a demo at any time before you've agreed to proceed. No domain is registered and nothing is published anywhere public at this stage.

Agreeing to proceed & payment

If you'd like us to build your site to completion, you'll confirm that to us in writing (for example, replying to confirm) before we send an invoice — agreeing to proceed also means agreeing to these Terms. Once confirmed:

• Half of your plan's one-time build fee is due as a deposit. This unlocks final development.
• We continue building on a private, local environment — never shared publicly — incorporating your feedback. There's no cap on rounds of revisions; we keep refining until you're happy with it.
• Once you confirm the finished site is ready, the remaining half of the build fee is due.
• We publish your site — pointing your domain live — within 3 business days of that final payment clearing.

Both the deposit and the final payment are non-refundable once paid — except if we fail to deliver: if OptWebPro doesn't complete a build you've paid for, you're entitled to a refund of what you've paid toward it.

This same process, and this same pricing, applies whether we're building you a brand-new site or rebuilding ("revamping") an existing one.

Domain, hosting & ownership

Your content is yours. Any text, photos, logos and branding you give us to use on your site remain your property, always.

The domain your site lives on, and the code, template and design we build it with, are owned and controlled by OptWebPro for as long as you're an active customer. This is what lets us build for free, publish on a domain OptWebPro maintains, and back your plan with real hosting, support and maintenance — rather than handing over a domain and code with no ongoing relationship behind it.

If you already own a domain and want to keep using it for a rebuild, you'll transfer registrar control of that domain to OptWebPro as part of getting started. The domain name itself doesn't change, so your Google listing, reviews and search history carry over exactly as they are — only who manages the domain and hosting changes.

Domain registration and renewal costs are included in your monthly plan; there's no separate annual charge. If you'd like a premium or aftermarket domain priced above the cost of a standard registration, we'll let you know the difference in cost upfront and bill it separately.

Nonpayment & suspension

If a monthly payment is missed, we'll notify you. If it's still unpaid once the following month's payment also comes due, your site will be taken offline until the balance is paid — the domain stays registered under OptWebPro and is not given up, so paying what's owed brings your site right back, whenever that happens. We don't charge late fees or interest on missed payments; this is the extent of the consequence.

A payment reversed or disputed through your card issuer (a "chargeback") is treated the same as a missed payment, plus a $25 fee to cover the dispute cost charged to us.

Cancellation & price changes

You can cancel your monthly hosting/care plan at any time, for any reason — there's no minimum term or long-term contract. Cancelling stops future charges; it does not, by itself, take your site offline (see "Nonpayment & suspension" above for what does) or entitle you to a refund of amounts already paid.

We may increase plan pricing going forward with at least 30 days' notice. You're always free to cancel if a new price doesn't work for you.

If OptWebPro closes

If we ever stop operating, we'll give active customers reasonable advance notice and the opportunity to buy out or transfer their domain before anything lapses.

If you sell your business

This agreement doesn't automatically transfer if you sell your business. The new owner should contact us to sign a new agreement; we'll set them up to continue at the same monthly rate you were paying. OptWebPro may assign or transfer this agreement, or any client agreement, if our business is sold, merged or restructured.

Support & service levels

• Launch + Care: we aim to respond to maintenance and edit requests within 1–2 business days (weekends and holidays don't count against this window).
• Launch (without Care): edits and changes are handled as time allows and quoted per request; there's no guaranteed response time.
• Business email: if you'd like an email address on your own domain (e.g. [email protected]), we can set that up through a Zoho account for a one-time $30 fee. You're free to manage or upgrade that account yourself afterward.

AI features

Where a plan includes AI-powered features — such as an AI receptionist, automated replies, or similar tools — those features use third-party AI models and may occasionally produce inaccurate, incomplete or unexpected output. We don't guarantee any particular outcome from an AI-driven feature, and you're responsible for reviewing AI-generated content or actions that matter (a quote, a scheduled appointment, a reply sent on your behalf) before relying on them.

Acceptable use

We can decline to build a site for, or terminate service to, a business whose operations or content are illegal, fraudulent, or something we don't want to be associated with. This applies on an ongoing basis, not just when you sign up — if content added to your site later falls into this category, the same applies.

Showcasing our work

We may reference or show screenshots of your finished site in our own marketing and portfolio (for example, case studies or an "our work" page), unless you tell us in writing that you'd prefer we didn't.

Social media accounts

Where you've added the social media add-on, the Facebook, Instagram and Google Business Profile accounts we post to are created under and owned by your business — we just manage the posting. If you cancel the add-on, you keep the accounts and everything posted; you just lose ongoing management.

Your responsibilities

You're responsible for making sure any content, photos, branding or business information you give us to use is accurate and that you have the right to use it. If a third party makes a claim against us because something you provided infringed their rights (for example, a copyright or trademark claim), or because of how you actually run your business, you agree to cover the reasonable costs that results in for us.

Liability

Our total liability to you for any claim relating to our services is limited to the amount you've paid us in the 12 months before the claim. We're not liable for outages or data loss caused by third-party services we depend on (such as Cloudflare, Supabase, Stripe or our domain registrar) that are outside our control, though we'll make reasonable efforts to restore service and can provide a data export where available. Our services are provided as-is, without warranties beyond what's described in these Terms.

Governing law

These Terms are governed by the laws of the State of Louisiana. Any dispute will be handled in the state or federal courts located in Louisiana.

Changes to these terms

We may update these Terms from time to time. We'll update the date at the top when we do; continuing to use our services after that date means you accept the revised Terms.
